Terms of service.

01 Your agreement

These Terms of Service (the "Terms") are a binding agreement between you ("you", "Customer") and TierProxy, Inc. ("TierProxy", "we", "us"), a Delaware corporation. They govern your access to, and use of, the TierProxy gateway, API, documentation, dashboard, and any related services we provide (together, the "Service").

You accept these Terms when you create an account, generate an API key, or send a request through the gateway — whichever happens first. If you don't accept them, don't use the Service.

If you're using TierProxy on behalf of a company or other organisation, you represent that you have authority to bind that entity, and "you" and "Customer" refer to that entity.

02 What TierProxy is

TierProxy is a reseller of residential proxy bandwidth. We connect your client (script, scraper, browser, automation) to an upstream residential network operated by our supplier, PacketStream, Inc. Traffic you send to our gateway is forwarded through real residential IPs in the country and city you select, and the response is relayed back to you.

We provide:

• A unified gateway endpoint (HTTP, HTTPS, and SOCKS5).
• An API for generating session-scoped sticky IPs and reading usage data.
• A dashboard for managing keys, GB balance, and access logs.
• Per-GB pricing tiers with no monthly minimums and no auto-renewing subscriptions.

We do not own the underlying residential IPs and do not control which exact IP your traffic exits from. Availability, latency, and geographic distribution depend on our upstream supplier's network.

03 Account & eligibility

3.1You must be 18 or older

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to create an account. The Service is not directed at children.

3.2Accurate information

You agree to provide accurate, current, and complete information during registration and to keep it up to date. We may verify identifying information at any time, in particular before processing higher-volume orders.

3.3Keep your key secret

Your API key is a credential. You are responsible for any traffic, charges, or violations that originate from it. Don't commit it to a public repository, paste it into a chat, or share it with someone you wouldn't trust with your credit card. Notify us at security@tierproxy.com if you believe your key has been exposed and we'll rotate it.

3.4Restricted regions

You may not access the Service if you reside in, or are routing traffic on behalf of a party in, a country or against a person subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the European Union, or the United Kingdom.

04 Acceptable use

The Service exists for legitimate, lawful purposes. That includes — without being exhaustive:

• Public web scraping and price intelligence on sites that allow it under their terms or under applicable law.
• Ad verification, brand protection, and SEO research.
• QA, geo-targeted testing, and load testing of your own infrastructure.
• Academic and journalistic research that complies with the data-protection laws of the relevant jurisdiction.
• Sneaker, ticket, and inventory monitoring within the platform's terms or until the platform asks you to stop.

You are responsible for ensuring that what you do with the Service is legal in (a) your country, (b) the country your traffic exits from, and (c) the country where your target server is hosted.

05 Prohibited use

You may not use the Service, and you may not allow anyone else to use the Service, to:

1. Commit, attempt, or facilitate any crime, including fraud, theft of credentials, account takeover, unauthorised access to computer systems, or the distribution of malware.
2. Access, attempt to access, or generate child sexual abuse material (CSAM), or any content that sexually exploits minors. We report any such activity to the National Center for Missing & Exploited Children and to law enforcement without prior notice to you.
3. Send unsolicited commercial communications (spam) via SMTP, SMS, or any other channel.
4. Conduct, plan, or assist any denial-of-service or volumetric attack, including but not limited to DDoS amplification, SYN floods, or sustained credential-stuffing campaigns.
5. Bypass authentication, captchas, or rate limits in order to access accounts, data, or services that do not belong to you.
6. Target online-banking, payment-card, healthcare, government, military, or critical-infrastructure systems.
7. Scrape or otherwise process personal data in violation of applicable law (e.g., GDPR, CCPA, LGPD), or build datasets intended to identify, profile, or surveil natural persons without a lawful basis.
8. Reverse-engineer, decompile, or attempt to derive the source code or operational logic of the gateway, the API, or the upstream network.
9. Resell, sublicense, or rebrand the Service to third parties without a separate written agreement with TierProxy.
10. Use the Service in any way that violates the acceptable-use policy of our upstream supplier (PacketStream); their policy is incorporated by reference.

This list is illustrative, not exhaustive. If you're unsure whether something falls inside it, ask us first.

06 Credits & GB packages

6.1How purchases work

You pay for the Service by purchasing pre-paid GB packages. Larger packages have a lower per-GB price. Prices are denominated in U.S. dollars and shown at checkout. You authorise us to charge the payment method on file for the amount of the package you select.

6.2Balance & consumption

Each successful response routed through the gateway consumes GB from your balance based on the size of the request and response payloads measured at the gateway. Failed requests (HTTP 5xx returned by the upstream within 8 seconds) are not billed. We may, at our discretion, decline to bill traffic that is the result of an obvious gateway error on our side.

6.3Expiry

Unused GB do not expire as long as your account is in good standing and has at least one successful authentication within the previous 12 months. We will email you at least 30 days before applying any inactivity policy.

6.4Taxes

Prices are exclusive of any sales, use, value-added, or similar taxes. You are responsible for any such taxes payable in your jurisdiction. Where we are required by law to collect them, they will be added at checkout.

07 Refunds & chargebacks

Consumed GB are non-refundable. Unused GB are refundable within 14 days of purchase, less any payment-processor fees and any applicable taxes that we are unable to recover. Refunds are returned to the original payment method.

Initiating a chargeback before contacting billing@tierproxy.com may result in immediate suspension of your account and forfeiture of any remaining balance. If you have a billing question, email us first — we read every message and we resolve them quickly.

08 Rate limits & fair use

We apply a global rate limit on requests per second and concurrent sessions per API key, advertised in our documentation. You agree not to circumvent these limits or operate multiple accounts to evade them.

"Fair use" means we may, in our reasonable judgement, temporarily throttle or pause traffic that endangers the stability of the gateway, our upstream provider, or another customer's experience. We will notify you when we do.

09 Intellectual property

The Service, including all software, designs, documentation, trademarks, and the TierProxy name, are owned by TierProxy or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms — and nothing more.

You retain ownership of any content you transmit through the Service. You grant us a limited licence to process that content solely to operate the Service. We do not inspect, log, or store the bodies of your requests or responses except as strictly necessary to bill GB consumed and to investigate abuse.

10 Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise — including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or that any specific IP, country, or rotation behaviour will be available at any given time.

We do not warrant that use of the Service will comply with the terms of any third-party website or service you choose to target. That responsibility is yours.

11 Limitation of liability

To the maximum extent permitted by law, in no event will TierProxy, its affiliates, officers, employees, agents, or suppliers be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, arising out of or in connection with your use of the Service — even if we have been advised of the possibility of such damages.

Our total cumulative liability for any claim arising out of or related to these Terms or the Service is limited to the greater of (a) the amount you paid TierProxy in the 3 months immediately preceding the event giving rise to the claim, and (b) US$ 100.

12 Indemnification

You agree to defend, indemnify, and hold harmless TierProxy and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of, or misuse of, the Service; (b) your breach of these Terms; (c) your violation of any third-party right, including any intellectual-property or privacy right; or (d) any claim that traffic originating from your API key caused damage to a third party.

13 Suspension & termination

We may suspend or terminate your account immediately, without prior notice or liability, for any reason — including, without limitation, if we believe you have breached these Terms, if we receive a credible report of prohibited use, or if we are required to do so by our upstream supplier, a payment processor, or a competent authority.

You may close your account at any time from the dashboard or by emailing billing@tierproxy.com. Section 06.3 governs the balance that remains.

Sections that by their nature should survive termination will survive termination — including Intellectual property, Disclaimers, Limitation of liability, Indemnification, and Governing law.

14 Changes to these terms

We may update these Terms from time to time. If we make a material change, we will give you at least 30 days' notice by email to the address on file, and we will update the "Last updated" date at the top of this page. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not accept them, stop using the Service before the effective date.

15 Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms or the Service that cannot be resolved by good-faith negotiation will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right.
